This Service Agreement (this "Agreement") is made effective as of   by and between   ______________________  of   ______________________  and BusinessMasters.Net, of 12130 Nest Court, Grand Island, FL 32735, for the term of 12 months. In this Agreement, the party who is to receive services shall be referred to as "CLIENT", and the party who will be providing the services shall be referred to as "BusinessMasters.Net".

1. DESCRIPTION OF SERVICES. Beginning on   , which shall also be the date the site is made "live", BusinessMasters.Net will provide some or all of the following services, (collectively the "Services"): Internet webpage hosting , real-time credit card processing, advertising services, programming, and/or consulting. BusinessMasters.Net will instruct CLIENT on procedures, passwords, etc. when applicable. BusinessMasters.Net is not responsible for setting up the CLIENT'S computer for use in connecting to or accessing BusinessMasters.Net's system.

2. PAYMENT FOR SERVICES. CLIENT will pay compensation to BusinessMasters.Net for all of the services used by CLIENT as per the published price list OR custom quote (quotes must be in the form of an email, written document or signed fax by an authorized representative of BusinessMasters.Net ONLY)

3. TERMS/TERMINATION. This agreement is for the term indicated above, automatically renewed unless terminated by either party upon 30 days written notice to the other party. Three months service charges in advance and all applicable setup fees are required prior to initialization of the account (except real-time credit card processing services which are to be prepaid or billed monthly). Recurring payments, if any, are due in full on or before the anniversary date of the account. It is the responsibility of the CLIENT to ensure that payments are received in our office by the required due date. Service will be subject to termination without prior notification if payment is not received by the anniversary date. If service is terminated for non-payment, a reinstatement fee of $50.00 may be imposed and any past due amounts must be paid prior to restoring the account. If the CLIENT attempts to gain unauthorized access to proprietary accounts, or equipment (I.E. servers, routers, modems, etc.), the CLIENT will be subject to applicable laws and regulation. All CLIENT'S of the "INTERNET" will comply with all local, state, federal, national and international laws which govern its use. Unsolicited e-mail and inappropriate Usenet postings are defined as spamming and are strictly prohibited. Any content which is considered to be of a sexual or questionable nature by anyone is strictly prohibited. Advertising of any products or services for sale is considered to be commercial activity and shall be restricted from personal web pages. BusinessMasters.Net has the right to deny any and all connection requests, at its sole discretion. BusinessMasters.Net has the right to interrupt this service if necessary for maintenance or to maintain the server(s) or network system(s) without notice. The CLIENT and BusinessMasters.Net agrees to hold the other party harmless for any loss, damage, liability, or claims and shall require their insurer, if any, to waive any right of subrogation against each other for any loss arising from this Agreement. BusinessMasters.Net will not be responsible for loss of information, and/or data from damage to our server(s) and will not be responsible for loss of wages or loss of production for any downtime which may occur from any event within or outside the control of BusinessMasters.Net. BusinessMasters.Net will make every effort to restore interrupted services within 24 hours or it agrees to release the CLIENT from this agreement if the CLIENT chooses to do so. BusinessMasters.Net will not be responsible for any illegal activities of the CLIENT or any information contained within a users e-mail box or webpages. BusinessMasters.Net will not be held responsible for the non-delivery of e-mail or non-delivery of any webpages. BusinessMasters.Net reserves the right to make judgement whether or not a refund is due to CLIENT for any reason. Upon accepting this Agreement, the CLIENT agrees to all terms and conditions as set forth in this and all other related documents included

4. SEVERABILITY. If any provision of this Agreement shall be held invalid or unenforceable for any reason, the remaining provision shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid and unenforceable, but that by limiting such provision it would become valid and enforceable, then such a provision shall be deemed to be written, construed, and enforced as so limited.

5. GOVERNING LAW. This agreement is governed by the laws of the State of Florida.
